A contract lawyer in Denver told me to always push back on indemnification clauses, and it saved my agency $18k
About two years ago I was signing a retainer with a new client in Denver and their legal team sent over a contract with a pretty rough indemnification clause buried on page 7. I almost signed it because the deal was worth $18k and I didn't want to rock the boat, but my contract lawyer told me flat out that I should push back or walk. I asked for the clause to be capped and mutual, and after a week of back and forth they actually agreed without dropping the deal. A buddy of mine at another agency signed the same kind of clause with a different client and ended up eating $18k in legal fees when things went sideways. Anyone else had a lawyer talk them into a fight they thought they would lose?
