Vent: Found a clause in our subagency agreement that basically gives away client IP

Was reviewing a paper from a partner agency in Chicago last night. Buried on page 14 it said they own all work product unless we pay them 30% extra.

Page 14 is basically standard practice in Chicago subagency deals now. I've seen three different firms use the exact same 30% markup clause since 2022. If you push back they'll just say it covers their legal exposure if your work gets their client sued.

Out of curiosity what did you end up doing to get around that clause? I ran into the exact same thing with a Chicago agency back in 2023 and it took me way too long to figure out a fix. What worked for me was adding my own subclause that capped their markup at 15% if my work was the only thing being disputed in the lawsuit. @owens.cameron that 30% is their standard go-to but they folded fast when I showed them the numbers on a real case. Do you think negotiation or just walking away is the better move here? I had to pick my battles but that one was worth fighting.
